Dravske elektrarne Maribor becomes majority owner of RGP

(Velenje, Maribor, 19 December 2019) – based on the notification from the mine operator Premogovnik Velenje about its intention to sell business interests in the company RGP, the company Dravske elektrarne Maribor decided to exercise its pre-emptive right to purchase 56.9% of the business interest. With a business interest of 86.9%, the company Dravske elektrarne Maribor is now the largest owner of the company RGP, as it had already held a 30% interest in the company before said purchase.

Dravske elektrarne Maribor became a partner in the company RGP in June 2019 along with Premogovnik Velenje, Termoelektrarna Šoštanj and Soške elektrarne Nova Gorica. After the latest change in business interests, the ownership structure is the following: 86.9% Dravske elektrarne Maribor, 5.1% Termoelektrarna Šoštanj, 4.0% Soške elektrarne Nova Gorica and 4.0% Premogovnik Velenje.

"In accordance with the financial and business restructuring plan of the Premogovnik Velenje Group, business restructuring is under way, which mostly focuses on the principal activity of extraction of coal, sale of investments and discontinuation of activities not related to the production of coal. When it comes to the sale of long-term financial investments, the plan had been partly realised in the past. Business interests in the companies Golte, Erico and Karbon have been sold. Premogovnik Velenje held a total of 60.9% of business interest in the ownership structure of the company RGP, and has retained a 4% business interest after the sale. With regard to the adopted business guidelines of the HSE Group and with the objective of making the companies' operations as economical as possible, we are happy that the business interest is being sold within the HSE Group, as we will be able to reduce the amount of contracted construction and other services. RGP, as an increasingly recognisable and successful construction company, is able to offer services at competitive prices, and its works are performed with a good quality," said director general of Premogovnik Velenje Marko Mavec.

"RGP, d. o. o. is a company specialised in infrastructural activity and possesses specific equipment and know-how compliant with the current and planned activities of the company Dravske elektrarne Maribor. Dravske elektrarne Maribor have already cooperated with the company RGP in certain projects, such as the keeping of the energy potential of the Drava river and the construction of a substitute road across the Markovci Dam. In the planned realisation of new projects, we see possibilities to upgrade cooperation while simplifying certain activities and procedures," DEM director Andrej Tumpej said as the contract was signed. On the occasion, he emphasised that the "company RGP operates well, and the presented plans project good operation, both in projects within the HSE Group and on the market in the future."

"Dravske elektrarne Maribor (DEM) represented the largest client for construction works for the company RGP in the last two years within the HSE Group in the field of internal projects, and projections for the coming years show a very similar situation. If the synergy effects of the planned capital integration of the companies RGP and HSE Invest are considered, the purchase of business interests in RGP by Dravske elektrarne Maribor is even more important, as demanding energy projects (wind farms, photovoltaics, electricity storage facilities, etc.) planned by DEM are ahead of us," said RGP director Anton Žagar.
